GENERAL TERMS & CONDITIONS OF SALE AND DELIVERY (GTCSD V1.02026)

1. Price Validity and Delivery Basis Prices are valid for fourteen (14) days from the quotation date and are based on prevailing market conditions, import costs, exchange rates, confirmed quantities, and the agreed delivery schedule. Prices are deemed final once quantities and delivery timelines are confirmed in writing by Inpolchem, Inc.

2. Staggered or Partial Deliveries Where deliveries are requested in stages or released over time, deliveries may be handled under a phased arrangement, subject to mutual coordination. Initial confirmed releases shall follow the quoted pricing and agreed payment terms. Subsequent or balance releases beyond the originally agreed schedule may be subject to price review based on prevailing market conditions at the time of release. Each release shall be treated as a separate transaction and invoiced based on the actual quantities delivered.

3. Invoicing and Payment Terms Invoices are issued per delivery release. Payment terms shall follow the terms agreed upon with the customer and shall be reckoned from the actual delivery date of each released quantity, regardless of the original PO date. Should extended payment terms be required, prior written approval from Inpolchem, Inc. is kindly requested. Unapproved delays may affect succeeding deliveries and pricing.

4. Stock Holding and Risk To support efficient inventory management, Inpolchem, Inc. is unable to reserve or hold stock beyond the agreed delivery schedule. Requests for deferred release or stock holding may be subject to storage charges and/or price adjustment. Ownership and risk transfer upon delivery, unless otherwise agreed in writing.
